About Velonix
What does Velonix do?
Velonix is a boutique financial advisory and outsourcing firm based in India and serving US clients. We provide Financial Due Diligence (FDD) and Quality of Earnings (QoE) support to US M&A advisory firms, including firms founded by ex-Big 4 partners and industry leaders, plus FDD and QoE advisory directly to private equity firms, venture capital funds and independent sponsors. Additionally, we provide Financial Modeling and Fractional CFO and FP&A services. Our team combines US CPAs and Indian Chartered Accountants, delivering institutional-quality analysis.
Which industries does Velonix work in?
We are industry agnostic. The diligence framework (EBITDA normalization, net working capital, net debt, revenue quality and proof of cash) applies to any business, and we adapt the analysis to each sector's economics. Our team has worked across home services and skilled trades (HVAC, plumbing, roofing, landscaping, pest control), construction and infrastructure, engineering and technical services, manufacturing, wholesale distribution, oil and gas and energy, environmental and waste services, healthcare services and healthcare revenue cycle management, restaurants and foodservice, sports, recreation and entertainment, transportation and logistics, government contracting, technology and SaaS, and professional, advisory, financial and legal services. If your target operates in a sector not listed, the same framework applies.
Why does the US CPA and Indian CA team structure matter?
Every QoE involves judgment calls that no template resolves, as it involves review of revenue recognition, EBITDA adjustments, AR agings to check collectability risk, and more. Our professionals bring direct experience with US GAAP, deep analytical capabilities, and the diligence expectations of investors and lenders.
Due diligence
What is a Quality of Earnings (QoE) analysis, and why does it matter?
A Quality of Earnings analysis restates a company's reported earnings to separate sustainable, recurring income from one-time or owner-driven items, producing a defensible adjusted EBITDA. In any M&A transaction, that adjusted EBITDA is the number buyers and lenders apply valuation multiples to, so it directly drives deal pricing. Typical adjustments include revenue recognition aligned to the underlying contracts, owner compensation normalized to market, related-party arrangements such as rent reset to market terms, and one-time items removed. A rigorous QoE protects acquirers from overpaying for earnings that won't survive post-close, making it one of the most critical steps in buy-side due diligence.
What is the difference between buy-side and sell-side Quality of Earnings?
A buy-side Quality of Earnings is commissioned by the acquirer to test whether reported earnings are sustainable before it prices the deal and structures the purchase. A sell-side QoE is commissioned by the owner or its advisers ahead of a sale, so buyers receive a vetted adjusted EBITDA and fewer surprises surface mid-process. The analysis is similar in both cases. Velonix delivers both, directly to sponsors and funds or behind the brand of an advisory firm.
What's included in a Financial Due Diligence engagement?
A standard engagement covers red-flag analysis, income statement normalization and the EBITDA bridge, revenue quality and trend analysis, net working capital and peg analysis, net debt and debt-like items, customer and vendor concentration, proof of cash, reconciliation to tax filings and payroll, and AR/AP aging. Scope flexes to deal size: full diligence for larger transactions, targeted mini-diligence for smaller or time-compressed deals.
How does FDD and QoE outsourcing work for US advisory firms?
For white-label and outsourcing engagements, Velonix operates as an extension of your team on an overnight delivery cycle. You send the target company data at the end of your business day; our team works on it during your night and returns completed files before your next morning. We handle the full analytical workflow from GL mapping and financial statement preparation to EBITDA normalization, working capital, net debt, proof of cash, and a formal quality check before anything reaches your end client. We also report preliminary red flags to your team, highlighting key risks. Your firm reviews and presents the final work product to your end client. This lets you scale Transaction Advisory Services capacity for any deal size, without adding headcount.
Does Velonix work directly with PE firms, VC funds and independent sponsors?
Yes. Alongside outsourcing for consulting firms, Velonix works directly with private equity funds, VC firms and independent sponsors as their transaction advisory team. We deliver QoE reports, FDD analysis and supporting workbooks straight to your deal team, with no intermediary. This is especially valuable for independent sponsors and lower-middle-market funds that need institutional-quality diligence on every acquisition but don't retain a full in-house diligence team.
What is white-label financial due diligence?
White-label financial due diligence means a specialist team performs the analysis behind your brand. Velonix prepares the QoE model, financial statements and a preliminary red-flag analysis as an extension of your team, with files returned in your format. Your firm reviews and presents the final work product to your client.
Why outsource Quality of Earnings and diligence work to an offshore team?
Deal timelines are fixed, but diligence demand is uneven. An offshore team in India works while your team is offline: you send the target company data at the end of your day and receive completed files before the next morning. That lets you take on more deals at once and scale Transaction Advisory Services capacity without adding headcount, while your senior professionals stay with clients. At Velonix, a senior reviewer applies a formal quality check to every deliverable.
Financial Modeling and Fractional CFO
What Financial Modeling services does Velonix offer?
Velonix builds LBO models, M&A merger and accretion/dilution models, DCF valuations, three-statement models, scenario and sensitivity analyses, rolling forecasts, and board-ready reporting models, all in clean, auditable Excel. We build complex models from scratch and also take over existing models that have become unreliable or hard to maintain. We keep models current on a weekly, monthly, quarterly or per-deal basis, so they stay accurate for management, investor and lender reporting. A model can serve as an internal decision tool or as a deliverable to your client, lender or board.
Does Velonix use AI and automation in Financial Modeling?
Yes. Financial model automation is one of our specialties. We use AI and automation tools, including Excel scripts, VBA, Python and Microsoft Power Automate, to refresh data, reconcile figures, run scenarios and update dashboards, so models stay accurate with less manual work. Every model still gets a review by a senior professional before it reaches you.
What is a Fractional CFO, and when does a startup need one?
A Fractional CFO is a part-time, senior finance executive who provides strategic financial leadership (fundraising preparation, Financial Modeling, cash runway management, board reporting and FP&A) at a fraction of a full-time CFO's cost. Startups typically need one when preparing for a funding round, facing investor due diligence, or when financial decisions start demanding executive judgment. Velonix brings M&A and investor-side experience, so the financial story we build holds up in front of VCs and lenders.
Working with us
How does Velonix protect confidential deal data?
Data security is built into our operations. Every team member works only on company-issued, fully monitored laptops and no personal devices. Files are stored on Microsoft SharePoint and exchanged via OneDrive or Dropbox Business with role-based access, and data is shared strictly on a need-to-know basis within each engagement. We sign comprehensive NDAs on every engagement.
How does Velonix price its engagements?
We engage on either a fixed-fee or an hourly basis, whichever suits the client. Rates vary by deal complexity, but pricing conversations are always transparent, with no surprises after work begins.
