A two-speed market
Near-record headline value, thinner participation below the top. Monthly data on lower and middle market deals, and what it means for diligence.
Growth is a large-deal story. Below $10M, deal counts are shrinking
Source: FactSet Flashwire US Monthly, October 2026. Disclosed values only.
So what: small disclosed deals are falling in number while headline value climbs. Read aggregate totals with that mix in mind.
- Value up, count flat. Global M&A reached $4.44tn in nine months (+27%) on 32,419 deals (−1%). Mergermarket
- US flow softened. September announcements ran 23% below September 2025, and HSR filings fell to 193 from 271. FactSet, FTC
- Sponsors stepped in. They took 50% of North American deal value in the third quarter, against 20% in the first half. Mergermarket
For lower and middle market advisers: buyers pay up for clean, transferable earnings and walk from the rest, so diligence quality now sets price and certainty.
US announcements ran 23% below last September, and filings fell back from August's high
Source: FactSet Flashwire US Monthly (October 2026); FTC HSR transactions by month. The latest month is preliminary.
So what: HSR filings sit between announcement and closing for larger deals. August's 271 was the 12-month high. September's 193 is back inside the 180 to 235 range of the other ten months.
Manufacturing, retail and distribution deal counts are rising. Finance and services are falling
Source: FactSet Flashwire US Monthly, Sector Activity (four gainers and five decliners shown). Brackets show deal counts now vs a year earlier.
So what: counts are growing where inventory, receivables and supply-chain exposure are large, so working capital is where diligence time goes.
Sponsors held deal count but not deal value, and took back share in Q3
Source: PitchBook US PE Breakdown (30 Sep 2026); Mergermarket M&A Highlights 9M26. Including PitchBook's estimates, US PE deals in the first nine months were 7,189 (+6% y/y) on $730bn (−14%).
So what: reported counts for the latest quarters understate activity, because PitchBook adds late-reported deals as estimates (hatched). Europe moved the other way: sponsor buyouts rose 18% to $174bn and exits rose 30% to $209bn (Mergermarket).
North America and EMEA took the growth. Asia-Pacific fell 5%
Source: Mergermarket M&A Highlights 9M26 (data as of 29 Sep 2026). Rest of world is 3% of global value and is not shown.
So what: cross-border diligence is a North America and EMEA story this year. Asia-Pacific domestic volume is weak, while Australia and Southeast Asia more than doubled.
Fewer closings, higher prices for larger businesses, and a tougher test to close
| Segment | Metric | Latest | Source |
|---|---|---|---|
| Main Street, sale price under $1M | Cash-flow multiple | 2.30x | BizBuySell Q3 |
| Businesses sold above $1M | Cash-flow multiple | 3.73x | BizBuySell Q3 |
| Middle market, deals $1M to $500M | Median EV/EBITDA | 9.8x (6.5x a year ago) | FactSet 3Q26 |
| Large deals, $1B+ | Average P/E | 29.2x | FactSet, 12 months |

Technology marketed deals rose 19.9% and industrials 4.5%. Business services fell 19.8%. Transportation and business services draw more buyer interest than their supply. Food and hospitality and consumer goods draw less.

| Region | Kickoffs vs 3Q25 | Completion rate | Median prep | Median diligence |
|---|---|---|---|---|
| Asia-Pacific | +11% | 56% | 3 days | 235 days |
| Americas | −6% | 54% | 12 days | 171 days |
| EMEA | unchanged | 39% | 17 days | 155 days |
| Global | −2% | 49% | 12 days | 170 days |
Source: Datasite deal activity, 3Q26. Forward pipeline: 386 active US sale processes and 1,032 potential and active auctions in EMEA (Mergermarket, 25 September).
So what: deals still get done, but a larger share must pass a tougher test. Larger, cash-generative businesses are priced separately from the rest.
What it means for diligence and QoE
